1. Acceptance of Terms
By accessing and using Groundalert LLC's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Description of Service
Groundalert LLC provides managed IT services, including but not limited to:
- Network security monitoring and management
- IT infrastructure support and maintenance
- Cloud services management
- Technical support and consultation
- Cybersecurity services and threat detection
3. User Responsibilities
As a user of our services, you agree to:
- Provide accurate and complete information when requested
- Maintain the confidentiality of your account credentials
- Use our services in compliance with all applicable laws and regulations
- Not attempt to gain unauthorized access to our systems or networks
- Report any security incidents or suspicious activities promptly
4. Service Availability
While we strive to provide continuous service availability, Groundalert LLC does not guarantee uninterrupted access to our services. We may perform scheduled maintenance, updates, or emergency repairs that may temporarily affect service availability.
5. Payment Terms
Payment terms are specified in your service agreement. Unless otherwise agreed upon:
- Invoices are due within 30 days of the invoice date
- Late payments may incur additional fees
- Services may be suspended for non-payment
- All fees are non-refundable unless otherwise specified
6. Intellectual Property
All content, software, and materials provided by Groundalert LLC are protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any of our proprietary materials without explicit written permission.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This obligation survives the termination of services.
8. Limitation of Liability
Groundalert LLC's liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages arising from the use of our services.
9. Service Level Agreements
Specific service level agreements (SLAs) are detailed in your service contract. We commit to meeting the agreed-upon response times and availability targets as specified in your individual agreement.
10. Termination
Either party may terminate services with 30 days written notice. Groundalert LLC reserves the right to immediately terminate services for breach of these terms or non-payment.
11. Data Protection and Security
We implement industry-standard security measures to protect your data. However, you acknowledge that no system is completely secure, and you use our services at your own risk regarding data security.
12. Governing Law
These terms are governed by the laws of the State of New Jersey, United States. Any disputes will be resolved in the courts of New Jersey.
13. Changes to Terms
Groundalert LLC reserves the right to modify these terms at any time. We will notify users of significant changes via email or through our website. Continued use of our services constitutes acceptance of modified terms.
